This document is an official offer (public offer) from Pt Diamanté Max Consulting, represented by General Director Diana Vyacheslavovna Drobysheva, hereinafter referred to as the "Executor," acting on the basis of a license, and another individual, hereinafter referred to as the "Customer," to conclude this Agreement for the provision of services for organizing and conducting offsite retreats, under the terms specified in this Offer.
The full and unconditional acceptance of this public offer is the Customer’s payment for the services offered by the Executor.
This public offer for the provision of services is concluded in a special manner, without the need for signatures from the parties. This Agreement has legal force.
1. Terms and Definitions
1.1. In this document and in the relations between the Parties arising from or related to it, the following terms and definitions are applied:
1.2. Public Offer – the text of this document with all appendices, amendments, and supplements to it, posted on the Executor's Website and accessible online at: [http://retreatbali.site](http://retreatbali.site).
1.3. Executor – Diana Vyacheslavovna Drobysheva and her authorized representatives.
1.4. Services – services provided by the Executor for organizing and conducting a retreat in accordance with the terms of this Offer.
1.5. Retreat Customer (Customer) – an individual receiving access to the Services under this Agreement.
1.6. Website – the informational resource of the Executor on the Internet, located at [http://retreatbali.site](http://retreatbali.site), which contains information on the terms of conducting the Retreat, including the Retreat program and rules for conducting the Retreat. The Website is a platform through which the Services are directly ordered. The information on the website may be changed or supplemented at any time.
1.7. Order – a request by the Customer for the provision of services for organizing a Retreat under the terms selected on the Website.
1.8. Retreat – a set of activities organized by the Executor under this Agreement, including accommodation, as well as other events provided by the schedule and program of the Retreat.
1.9. Master – the spiritual guide leading the Retreat.
1.10. Event – an event provided by the Retreat schedule.
1.11. Payment – funds transferred by the Retreat Customer before the provision of services, which constitute confirmation of full and unconditional acceptance of this public Offer.
1.12. Acceptance of the Offer – full and unconditional acceptance of the Offer by the Customer through the actions specified in this Offer, creating an Agreement between the Customer and the Executor.
1.13. Customer – the person who has accepted the Offer (in relation to the execution of the concluded Agreement).
2. General Provisions and Subject of the Agreement
The Retreat Customer, by this offer agreement, confirms that they have sufficient legal capacity to conclude an Agreement with the Executor for the provision of services for organizing and conducting offsite retreats under the terms established in this Offer and selected by the Customer.
2.1. The subject of this Agreement is the organization and conduct of the Retreat by the Executor (hereinafter referred to as the Services or the Retreat).
2.2. The location of the Retreat, accommodation facilities, as well as the amount and terms of payment, provided for the Customer of the respective Retreat, are published on the website [http://retreatbali.site](http://retreatbali.site) and updated for each retreat.
2.3. The Customer confirms acceptance of the Retreat terms by making payment before direct participation in the Retreat. The theme, program, period of service provision, registration form, and other relevant information about the Services are published on the website [http://retreatbali.site](http://retreatbali.site).
2.4. The name, dates, composition, and cost of the Services are indicated on the website [http://retreatbali.site](http://retreatbali.site).
2.5. Before payment, the Customer independently reviews the list of conditions and the content of the Retreat program, accepting these terms by paying for the service.
2.6. The Executor has the right to change the terms of this public Offer unilaterally at any time, ensuring the publication of the modified terms on the Internet resource at the address: [http://retreatbali.site](http://retreatbali.site).
2.7. After the service period expires, these services are considered rendered and accepted by the Customer in full, and no service delivery act is required.
2.8. A mandatory condition for the provision of Services by the Executor is the unconditional acceptance and compliance by the Customer with the requirements and provisions applicable to the relations between the parties under the Agreement defined in this Offer.
3. Rights and Obligations of the Parties
3.1. The Executor is obliged to:
3.1.1. Provide the Customer with the opportunity to participate according to the Retreat conditions posted on the website [http://retreatbali.site](http://retreatbali.site).
3.2. The Executor has the right to:
3.2.1. Modify the terms of this Offer by publishing changes on the website, which come into force from the moment of publication.
3.2.2. Place the Executor's corporate logo, as well as reviews from Customers about the quality of the Executor's Services, on the website and in its advertising materials to demonstrate cooperation with the Executor and the quality of the Services provided.
Since the Retreat schedule may differ from the Customer's usual routine (daily schedule, meals, activities, etc.), it is recommended to consult with a specialist before deciding to participate in the Retreat. The Customer is informed that the Executor is not responsible for the health condition of the Retreat Customer and does not provide medical services.
3.3.14. During the Retreat, do not use mobile phones and other gadgets that hinder the observance of the Retreat rules. If desired, the Customer's mobile device can be handed over to the Executor at the beginning of the Retreat. It is allowed to listen to music recommended by the Master through headphones.
3.4. The Customer has the right to:
3.4.1. Receive information on the progress of the provision of Services by the Executor in a format convenient to them and in the manner chosen by them.
3.4.2. Receive individual consultation on the Retreat program.
3.4.3. Receive an individualized approach in creating that part of the Retreat program that is not general and mandatory for the Customers of this Retreat.
3.5. The Executor does not guarantee the effectiveness, practical applicability, or value of the information obtained during participation in the sessions; the fulfillment of any forecasts or predictions; and is not responsible for their non-fulfillment or the consequences of their fulfillment.
3.6. The Executor is not responsible for the match between the content of the Retreat events and the Customer's expectations.
3.7. The Executor is not responsible for the consequences of decisions made by the Customer based on information received during the Retreat.
3.8. The Executor is not responsible for other people conducting consultations and training activities based on the Executor's information.
3.9. Only the Retreat Customers are allowed to be on the territory of the Retreat. The presence of other persons is not permitted without the agreement of the Executor.
3.10. The possibility of participation by minor children of the Customer – the parent – must be discussed with the Executor in advance, at the time of application for participation in the Retreat.
4. Conclusion of the Agreement. Acceptance
4.1. The Customer agrees to the Agreement automatically by submitting an application through the website and receiving a booking confirmation via email from the Executor.
4.2. By accepting this Offer, the Customer agrees with all the terms stated in it.
5. Payment and Settlement Procedure
5.1. Information about the cost of participation in the Retreat is published on the Executor's website [http://retreatbali.site](http://retreatbali.site).
5.2. The Customer makes the payment within 3 (three) days from the moment of receiving confirmation of registration for the Retreat and a link to make the payment from the Executor.
5.3. The prepayment is 100% of the total cost of the Retreat.
5.4. Prepayment may only be refunded in the case of refusal to participate in the Retreat no later than 10 calendar days before the selected Retreat dates at the time of registration.
5.5. In case of refusal to participate in the Retreat less than 10 calendar days before the selected Retreat dates at the time of registration, the prepayment is non-refundable.
5.6. The payment is made by the Customer by transferring funds to the Executor's bank account.
5.7. The date of payment is considered the date the funds are credited to the Executor's bank account.
5.8. The prepayment is confirmation of the Customer's intention to participate in the Retreat.
5.9. The prepayment is confirmation that the Customer has reviewed and agrees with the Retreat Participation Rules.
5.10. The prepayment is confirmation that the Customer has reviewed and gives their consent to the use of their personal data within the framework of the Retreat Participation Rules.
5.11. Full payment for participation in the Retreat must be made no later than 10 calendar days before the start of participation in the Retreat.
5.12. If the Customer has not paid the full
cost of the Retreat by 10 calendar days before the start of participation in the Retreat, they will not be allowed to participate in the Retreat.
5.13. The parties agree that if the Customer ceases participation in the Retreat before its conclusion or does not participate in the Retreat after making the payment for reasons not related to non-performance or improper performance by the Executor of the terms of the Offer, the obligations of the Executor are considered fulfilled in full and properly. In this case, the payment or prepayment is non-refundable.
6. Term of the Offer
6.1. The Offer Agreement comes into force from the moment it is posted on the Internet at [http://retreatbali.site](http://retreatbali.site) and remains in effect until the Offer is withdrawn by the Executor.
6.2. The Customer agrees and acknowledges that amendments to the Offer entail amendments to the Agreement concluded and in effect between the Customer and the Executor, and these amendments to the Agreement come into effect simultaneously with such amendments to the Offer.
6.3. Without contradicting the terms of the Offer, the Executor and the Customer may at any time formalize the Agreement for the provision of services in the form of a written bilateral document.
7. Liability of the Parties
7.1. For failure to perform or improper performance of obligations under this Offer, the Parties are liable in accordance with the legislation of the Republic of Indonesia.
7.2. The Parties are exempt from liability for failure to perform or improper performance of the terms of this Offer due to the occurrence of force majeure circumstances, determined in accordance with the legislation of the Republic of Indonesia, provided they present proof that such circumstances prevented the performance of obligations under this Offer. Such proof is documents from competent authorities of the Republic of Indonesia. From the moment the force majeure circumstances are removed, the Offer operates as usual.
7.3. The Executor is not responsible for the consequences of using information obtained as a result of the provision of Services under this Offer.
7.4. In the event of a breach by the Customer of any of the obligations specified in this Offer, the Executor has the right to refuse the provision of Services. The Customer agrees that in this case, the paid funds are non-refundable and constitute a penalty, collected from the Customer in favor of the Executor.
8. Other Conditions
8.1. The information received by the Customer during the provision of Services is the intellectual property of the Executor and is subject to protection under the legislation of the Republic of Indonesia. The dissemination of such information or its transfer to any third parties is not allowed.
8.2. The Customer fully understands and accepts that they acquire the right to participate in the Retreat, where audio and video recordings of all events are conducted.
8.3. The Customer understands and agrees that any joint photos and videos with the Master are the property of the Executor, and the right to manage them belongs solely to the Executor.
8.4. In case of disputes and disagreements, the Parties undertake to make all possible efforts to resolve them through negotiations. The response period for a claim is set at 10 (ten) working days.
8.5. Disputes and disagreements that the Parties do not reach agreement on are subject to resolution in accordance with the current legislation of the Republic of Indonesia.
8.6. By accepting the terms of this Offer, the Customer expresses their consent to receive information via email about all events conducted by the Executor, the conditions for conducting them, financial conditions, and other information, regardless of the term of this Offer. At the same time, the Customer has the right to unsubscribe from mailings at any time.
